1. Services and Support

PostWithProof provides an AI-powered platform that enables content creators to build professional media kits using verified data from their social media channels, including YouTube, Instagram, and TikTok. We will use commercially reasonable efforts to provide the Services in accordance with these Terms.

During registration, you will establish login credentials for your account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. We reserve the right to refuse or revoke credentials that we deem inappropriate.

2. Restrictions and Responsibilities

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Services
• Create derivative works based on the Services
• Use the Services for timesharing, service bureau, or similar purposes
• Access the Services in a manner that violates any applicable law, including export control regulations
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to the Services or related systems
• Use the Services to transmit harmful, fraudulent, or misleading content

You are responsible for your equipment, internet connection, account security, and ensuring that your use of the Services complies with all applicable laws and regulations. You agree to indemnify the Company against any claims arising from your violation of these Terms.

3. Your Data and Intellectual Property

You retain ownership of all content and data you upload to or generate through the Services ("Customer Data"). By using the Services, you grant us a limited license to use your Customer Data solely to provide and improve the Services.

We retain all rights, title, and interest in the Services, including all software, technology, documentation, and intellectual property related to the platform. No rights are granted to you other than as expressly set forth in these Terms.

We may collect and use de-identified, aggregated data derived from your use of the Services for analytics, benchmarking, and platform improvement purposes.

4. Social Media Channel Data

PostWithProof connects to third-party social media platforms (YouTube, Instagram, TikTok) to retrieve channel data for media kit generation. By connecting your social accounts, you authorize us to access and display your publicly available channel metrics, including subscriber/follower counts, view counts, video data, engagement metrics, and demographics.

We use the YouTube API Services to access YouTube data. By using this feature, you agree to be bound by the YouTube Terms of Service and the Google Privacy Policy.

5. Payment and Fees

Certain features of the Services require a paid subscription. Fees are as specified during the subscription process and are subject to change with 30 days' prior notice. All fees are non-refundable except as expressly stated in our Refund Policy below.

Late payments may incur a finance charge of 1.5% per month (or the maximum allowed by law, whichever is lower). Non-payment may result in suspension or termination of your access to the Services.

You are responsible for all applicable taxes, excluding taxes based on our net income.

6. Refunds and Cancellation

• Monthly subscriptions: Non-refundable. You may cancel at any time, and access continues until the end of your current billing period.
• Yearly subscriptions: Eligible for a refund within 7 days of purchase, minus any applicable processing fees.

To request a refund, cancel your subscription through the billing portal and contact us at support@postwithproof.com. Filing a chargeback without first contacting us may result in account suspension or termination.

7. Term and Termination

These Terms are effective when you first access the Services and continue until terminated. Subscriptions auto-renew unless you provide at least 30 days' notice before the end of the current billing period.

Either party may terminate for material breach with 30 days' written notice, provided the breach remains uncured. We may terminate immediately for non-payment. Upon termination, your right to access the Services ceases, and we may delete your account data after a reasonable retention period.

8. Warranty Disclaimer

We use commercially reasonable efforts to keep the Services available and error-free, but we do not warrant that the Services will be uninterrupted or free of errors. We may perform scheduled or emergency maintenance that temporarily affects availability.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Miscellaneous

• These Terms are governed by the laws of India, without regard to conflict of law principles.
• If any provision is found unenforceable, it shall be limited to the minimum extent necessary, and the remaining provisions shall remain in full force.
• You may not assign your rights under these Terms without our prior written consent.
• These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company.
